Code of Entegrity

You And The International Community

A. Overview

Entergy will observe all U.S. laws and the laws of foreign countries that may apply to international transactions or work performed in foreign countries. These laws may cover export control, antiboycott, trade, taxation, and the Foreign Corrupt Practices Act. Bribes and kickbacks are strictly forbidden. Please consult the Legal Services Department if you have any questions.

Policies relating to international operations:

FOREIGN CORRUPT PRACTICES ACT

B. Antiboycott Regulations

Entergy will comply with government antiboycott regulations prohibiting participation in international boycotts of countries friendly to the United States, and will follow all reporting-to-the-government requirements. You shall not provide information that might assist a boycott violating these laws and regulations.

C. Foreign Corrupt Practices Act

As an employee or representative of a global company, you must strictly comply with the Foreign Corrupt Practices Act ("FCPA"), which generally prohibits payments or gifts of any value to foreign government or political officials. (Corrupt practices are prohibited in all aspects of Entergy's business, not only international aspects.) The FCPA also requires the Company to maintain accurate books and records and a system of internal accounting controls documenting domestic and international assets and transactions.
